Proprietary Software License Agreement for Renaissance Raven
1. License Grant
This License Agreement (“Agreement”) is made between Renaissance Speed, LLC (“Licensor”) and the subscriber (“Licensee”), effective as of the date of digital acceptance or subscription activation.Licensor grants to Licensee a non-exclusive, non-transferable, revocable license to use Renaissance Raven (“Software”), a web-based application, for the Licensee’s lawful business or personal purposes, subject to the terms of this Agreement.
2. Subscription, Access, and Internet Connectivity
Access to the Software is contingent upon an active subscription and requires an active internet connection, which is not provided by Licensor. Licensee is responsible for procuring and maintaining their internet connection and all associated costs. Licensee acknowledges that the speed and quality of the internet connection, which are beyond the control of Licensor, may impact the performance and accessibility of the Software. No refunds, partial or otherwise, will be provided for lack of access or suboptimal performance due to internet connectivity issues.
3. Restrictions
Licensee shall not:
- Copy, modify, distribute, sell, or lease any part of the Software.
- Reverse engineer or attempt to extract the source code of the Software, except to the extent that this restriction is expressly prohibited by law.
- Use the Software for any purpose that is illegal or prohibited by this Agreement.
4. Intellectual Property
All rights, title, and interest in the Software, including all associated intellectual property rights, are and will remain the exclusive property of the Licensor. This Agreement does not transfer any rights, title, or interest in the Software to the Licensee, except for the limited license rights expressly set forth herein.
5. Termination
This Agreement is effective until terminated. Licensor may terminate this Agreement immediately upon notice to Licensee if Licensee breaches any term of this Agreement. Upon termination, Licensee must cease all use of the Software and destroy all copies (if applicable).
6. No Warranties
The Software is provided “as is,” without warranty of any kind, express or implied. Licensor does not warrant that the Software will meet Licensee’s requirements or operate without interruption or error.
7. Limitation of Liability
Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, vehicle use, or use of the Software, regardless of the cause of action.
8. AI Predictions and Disclaimers
- Accuracy of AI Predictions: While we strive for accuracy, we do not guarantee the correctness or completeness of AI predictions regarding vehicle engine health and performance simulations. These predictions should not be the sole basis for any decision-making.
- Verification by Professionals: Licensee is advised to have any actions based on the Software’s predictions verified by the vehicle’s manufacturer or a local authorized automotive dealer service department.
- No Responsibility for Repairs: We are not responsible for any outcomes, including any damage or costs incurred, as a result of actions taken based on the Software’s predictions. Decisions to pay for repairs or actions are made at the Licensee’s risk and expense.
- Performance Improvement Estimates: Suggested performance improvements are estimates, assuming ideal conditions and perfect vehicle health. Actual performance may vary.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Connecticut in the United States, without regard to its conflict of laws rules.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.
11. Acknowledgement
By subscribing to or using the Software, Licensee acknowledges that Licensee has read this Agreement, understands it, and agrees to be bound by its terms.
